Five Questions Boards Must Ask to Prepare for 2012

Boards girding themselves for the New Year face uncertainties on many levels, from ongoing economic upheaval in the eurozone and political stalemates in the U.S. Congress to rapid changes in social media and other technology.

In light of these challenges, Agenda asked directors and veteran consultants about what questions will best help directors inform themselves for the year ahead.

The questions came from Peter Browning, who serves on the boards of Nucor, Lowe’s Cos.,Acuity Brands and EnPro Industries; Stuart Levine, chairman of the governance and nominating committee at Broadridge Financial Solutions and lead director at D’Addario & Co.; Ira Kay, managing partner of compensation consultancy Pay Governance; David Phillips, lead director at Cintas and a board member at Meridian Bioscience; and Donna Boehme, principal of Compliance Strategies, who was BP’s first group compliance and ethics officer.
